These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Repliant Arc LLC ("Repliant Arc," "we," "us," or "our"), a Florida-based limited liability company, governing your use of our website at repliantarc.com and all related AI services, products, and communications (collectively, the "Services").
By accessing our website, requesting a demo, submitting your phone number for an AI call, signing up for any paid plan, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Services.
If you are using our Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. These Terms may be updated from time to time. Continued use of our Services after notice of changes constitutes acceptance of the updated Terms.
Repliant Arc provides AI-powered front desk and lead qualification services for small businesses, including:
Services are delivered on a monthly subscription basis with a one-time setup fee. Specific features are described at repliantarc.com/pricing.html. Use of the Services is also governed by our Privacy Policy, which explains how we collect, use, disclose, retain, and protect personal information, call recordings, transcripts, chat messages, and lead data.
Ashley is an artificial intelligence agent, not a human. At the beginning of every phone call and chat interaction, Ashley will clearly state: "Hi, this is Ashley, an AI assistant powered by Repliant Arc." By continuing the conversation after this disclosure, you acknowledge that you are interacting with an artificial intelligence system, not a human being.
Ashley is designed to conduct natural-sounding conversations using voice synthesis and large language model AI. Repliant Arc does not represent that Ashley is a human being, a licensed professional, or an agent authorized to make binding commitments on behalf of any third party.
AI outputs may be incomplete, inaccurate, delayed, or misunderstood. Clients are responsible for reviewing lead information, appointment details, customer communications, and any AI-generated summaries before relying on them for business decisions. AI-generated content does not constitute legal, medical, financial, or professional advice. Repliant Arc is not liable for any unauthorized discounts, pricing guarantees, or contractual promises made by Ashley that deviate from the client's official policies. The client remains the final arbiter of all business terms communicated to their customers.
Repliant Arc does not guarantee any number of leads, booked appointments, sales, revenue, or specific business outcomes from use of the Services.
Use of the Services does not create an attorney-client, doctor-patient, financial advisor-client, fiduciary, or any other professional relationship between Repliant Arc, Ashley, and any caller, visitor, or client.
All calls handled by Ashley are recorded and transcribed. At the beginning of every call, Ashley will state: "This call is being recorded and transcribed by an AI system for quality assurance, service delivery, lead follow-up, and service improvement. By continuing this call, you consent to the recording and transcription. To avoid being recorded, please hang up now."
We do not use call recordings to train third-party AI foundation models unless separately disclosed in our Privacy Policy and permitted by applicable law.
Florida Statute ยง 934.03 requires consent of all parties to a communication before it may be recorded. By remaining on the call after this disclosure, you consent to the recording and transcription of the conversation.
Call recordings and transcripts are retained for up to 12 months unless a longer retention period is required by law, needed to resolve a dispute, or requested by the client for legitimate business purposes. After the retention period, recordings are securely deleted.
Recordings and transcripts are stored securely and shared only with the Repliant Arc client whose phone system you contacted. They are not sold to third parties. You may request deletion of your call recording by contacting us at 833-848-0188. We will honor deletion requests where legally and operationally feasible, unless retention is required or permitted for legal compliance, dispute resolution, security, fraud prevention, billing, or legitimate business recordkeeping.
Ashley is not an emergency service. Ashley should not be used to report or respond to life-threatening emergencies, medical emergencies, fires, crimes, safety threats, or any situation requiring immediate emergency response.
If you have an emergency, call 911 or your local emergency services immediately.
While Ashley is configured to attempt to detect and escalate potentially urgent calls, Repliant Arc does not guarantee emergency detection accuracy, routing reliability, or response times. Ashley's emergency detection feature is a supplemental business tool only and is not a substitute for emergency services.
To the maximum extent permitted by applicable law, Repliant Arc is not liable for any harm arising from reliance on Ashley as a substitute for emergency services.
By submitting your phone number and checking the consent checkbox on any Repliant Arc form, you expressly provide prior express written consent to receive text messages (SMS) from Repliant Arc at the phone number you provided. This consent covers transactional and service-related messages including:
Message and data rates may apply. Message frequency varies based on your interactions. You may opt out of SMS communications at any time by replying STOP to any message, or by communicating your wish to stop receiving messages through any other reasonable method. For help, reply HELP or call 833-848-0188.
After opting out, you will receive one final confirmation message and then no further SMS from us. We maintain records of your consent including the date, time, form, phone number, and consent language shown at the time of opt-in.
Repliant Arc will not send marketing or promotional SMS messages unless you separately and expressly consent to receive marketing messages.
Your consent to receive SMS messages is not a condition of purchasing any product or service. Your phone number is shared with our SMS delivery provider solely for message delivery.
Ashley may book appointments on behalf of Repliant Arc clients using Google Calendar integration. When Ashley books an appointment during a call or chat interaction, a confirmation text and email will be sent to the contact information you provided, and you will receive reminder messages approximately 24 hours and 1 hour before the appointment.
Appointment bookings are subject to availability configured by each Repliant Arc client. Repliant Arc is not liable for missed appointments, scheduling conflicts caused by the client modifying their calendar independently, failed confirmations due to incorrect contact information, or scheduling errors resulting from third-party calendar service outages.
Repliant Arc services are billed as follows:
All prices are in US dollars. Founding customer pricing is available to the first 70 clients and is locked at the rate in effect at signup for as long as the account remains active. If a client cancels and later rejoins, they will be subject to the current rate at that time.
You may cancel your subscription at any time by emailing patrick@repliantarc.com, calling 833-848-0188, or through any account management portal we make available. Cancellation takes effect at the end of the current billing period.
Monthly subscriptions may be canceled at any time with no penalty. No partial-month refunds are issued.
Setup fees are non-refundable once setup work has begun. If a client cancels before any setup work has begun, the setup fee will be refunded in full. Once work commences, no refund will be issued regardless of whether the service goes live.
Upgrade credit. Clients who upgrade from the Starter plan to the Complete AI Front Desk within 60 days of signup will receive a credit equal to 50% of their original setup fee applied toward the Complete plan setup fee. This credit is non-transferable and cannot be redeemed for cash.
The Services are intended for users 18 years of age or older. We do not knowingly collect personal information from children under 13. If you believe a child has provided personal information through the Services, contact us at 833-848-0188 so we can delete it where appropriate.
You agree not to use Repliant Arc services to violate any applicable law, transmit spam or harassing messages, impersonate any person or entity, attempt unauthorized access to any system, interfere with the Services, collect or process sensitive personal data without appropriate consent, or use the Services for any illegal, fraudulent, or deceptive purpose. Repliant Arc reserves the right to suspend or terminate any account that violates these provisions without notice and without refund.
Client is responsible for ensuring that all business information, pricing, service descriptions, policies, calendar availability, emergency instructions, and FAQs provided to Repliant Arc are accurate, lawful, current, and complete. Repliant Arc is not responsible for errors caused by outdated, incomplete, or inaccurate client-provided information.
Clients may use call recordings, transcripts, lead cards, and chat logs for internal business follow-up, quality assurance, and customer service. Clients are responsible for using, storing, sharing, and deleting such materials in compliance with all applicable laws, including applicable recording consent, data privacy, and consumer protection laws in their jurisdiction.
Call Forwarding. Where clients forward their existing phone number to Ashley, clients represent and warrant that they have the legal right to record calls in their jurisdiction and that they will maintain any necessary announcements or disclosures required by local law prior to the call reaching the Repliant Arc system. Client is responsible for ensuring callers receive appropriate notice that calls may be answered by an AI system and may be recorded.
Clients in regulated industries โ including healthcare, legal, financial services, insurance, real estate, and similar fields โ are solely responsible for ensuring their use of the Services complies with all applicable professional, licensing, privacy, advertising, and recordkeeping requirements.
Repliant Arc does not represent that its Services are compliant with HIPAA, HITECH, or other healthcare privacy regulations. Clients in healthcare or handling protected health information should consult qualified legal counsel before using the Services and should not use the Services to transmit, process, or store protected health information without appropriate agreements and controls in place.
All content, technology, trademarks, and proprietary methodologies associated with Repliant Arc โ including the SALES LINKAGE™ Process and CARE™ Process โ are the exclusive property of Repliant Arc or Patrick M. Arcement. Nothing in these Terms grants you any right, title, or interest in Repliant Arc's intellectual property.
Client-specific configurations, business information, and custom prompts provided during setup remain your property. You grant Repliant Arc a limited license to use this information solely for the purpose of providing the Services.
The Services depend on third-party technology providers for phone and SMS communications, AI voice processing, voice synthesis, language model processing, email delivery, scheduling, hosting, and related infrastructure. Repliant Arc is not responsible for outages, delays, data handling practices, or policy changes caused by these providers. Your use of the Services may also be subject to the terms, privacy policies, and acceptable use policies of those providers. A current list of material subprocessors is available upon request.
Repliant Arc may change subprocessors or service providers as needed to maintain or improve the Services. Material changes to subprocessors will be reflected in an updated Privacy Policy.
Repliant Arc will make commercially reasonable efforts to deliver completed websites within two to five (2โ5) business days of the Client's intake call, provided that Client has supplied all required information, assets, and approvals in a timely manner. Delivery timelines are estimates only and are not guaranteed. Delays caused by Client's failure to respond, provide content, or approve deliverables are not the responsibility of Repliant Arc and will extend the delivery timeline accordingly. Repliant Arc is not liable for any losses, missed opportunities, or damages arising from delivery delays.
Every Repliant Arc website is engineered for optimal speed and performance using industry best practices including lean code, optimized assets, and global content delivery infrastructure. However, Repliant Arc makes no guarantee of specific page load times or performance scores. Website load times depend on factors outside Repliant Arc's control including the visitor's internet connection speed, device type, browser, geographic location, and network conditions at the time of access. Repliant Arc is not liable for any losses or damages attributed to website load times or performance.
Repliant Arc builds websites optimized for discovery by AI assistants and search platforms including but not limited to ChatGPT, Claude, Gemini, Copilot, Perplexity, and Google AI. Optimization includes schema markup, meta tags, structured content, and robots.txt configuration designed to improve discoverability. However, Repliant Arc makes no guarantee that any AI assistant or search platform will recommend, feature, index, or display your business in any particular manner or at any particular time. AI recommendations are determined independently by each platform based on their own algorithms, policies, and data. Repliant Arc is not liable for any losses or damages arising from AI platform decisions regarding your business's visibility or recommendations.
Every active website hosting plan includes storage for up to five (5) photos on the hosted website. Additional photos beyond five, image galleries, carousels, and other media-intensive features are available as add-on services at additional monthly cost. Photos must be provided by Client in a supported format. Repliant Arc is not responsible for the legality, ownership, or licensing of photos provided by Client. Client warrants that they have the right to use all photos submitted for use on their website.
Client owns all content, copy, images, and domain name associated with their website. Website files and infrastructure remain the property of Repliant Arc LLC until a Site Transfer Fee of two hundred ninety-five dollars ($295.00) is paid in full, at which point all website files will be packaged and delivered to Client within five (5) business days. The Site Transfer Fee covers the labor cost of packaging, organizing, and transferring all website files. The monthly hosting fee is not refundable upon site transfer. Domain transfer assistance is included in the Site Transfer Fee.
Repliant Arc makes commercially reasonable efforts to maintain continuous availability of all Services. However, Repliant Arc does not guarantee uninterrupted, error-free, or continuous operation of any Service. Scheduled maintenance, emergency repairs, infrastructure failures, and events outside Repliant Arc's control may result in temporary service interruptions.
In the event of a verified service outage directly caused by Repliant Arc's systems that results in a continuous interruption exceeding twenty-four (24) hours, Client may request a prorated billing credit equal to the daily rate of the affected monthly plan multiplied by the number of full days of verified downtime. Credits are applied to the Client's next billing cycle and are not redeemable for cash or refunds. Credits are the sole and exclusive remedy for service interruptions. To request a credit, Client must submit a written request to support@repliantarc.com within seven (7) calendar days of the outage.
All Repliant Arc Services require functioning internet connectivity, telecommunications infrastructure, and electrical power to operate. Repliant Arc is not liable for any service interruption, degraded performance, data loss, missed leads, missed calls, or missed appointments resulting from: (a) internet service provider outages or degradation; (b) cellular network failures or congestion; (c) power outages or electrical failures at any location; (d) domain name system (DNS) failures or routing issues; (e) backbone internet infrastructure failures; (f) distributed denial-of-service attacks or cyberattacks on internet infrastructure; or (g) any other failure of systems or infrastructure outside Repliant Arc's direct control.
Repliant Arc's Services depend on interconnected technology infrastructure operated by independent third-party providers. If any upstream technology provider โ including but not limited to AI processing services, voice communications networks, SMS delivery networks, email delivery services, calendar services, or hosting infrastructure โ experiences an outage, degradation, policy change, or service termination, Repliant Arc shall not be liable for any resulting interruption to Client's services. Repliant Arc will make commercially reasonable efforts to restore affected services as quickly as practicable following notification of such upstream failures. Client acknowledges that restoration timelines are dependent on the upstream provider and are outside Repliant Arc's control.
Under no circumstances shall Repliant Arc be liable for lost revenue, lost leads, lost appointments, lost customers, reputational harm, or any other consequential, indirect, or incidental damages arising from any service outage, regardless of cause. The prorated billing credit described above is the maximum remedy available to Client for any service interruption.
Client may cancel any monthly service at any time by submitting a written cancellation request to support@repliantarc.com. Cancellation requests must be received at least twenty-four (24) hours before the next billing date to avoid being charged for the following month. Upon receipt of a valid cancellation request, Repliant Arc will send a written confirmation to the Client's email address on file within one (1) business day. Cancellation is not effective until Client receives written confirmation from Repliant Arc. Verbal cancellation requests โ by phone, text, or in person โ are not valid and will not be processed. The one-time setup fee is non-refundable once the setup call or build process has commenced.
Repliant Arc sends SMS messages only for transactional and operational purposes. SMS messages are sent to: (a) the business owner or designated contact who has actively engaged with Repliant Arc's AI chat or phone system and completed a booking, as a confirmation of that specific booking; and (b) Repliant Arc staff as internal operational alerts. Repliant Arc does not send unsolicited promotional SMS messages. By completing a booking or lead capture interaction through Repliant Arc's AI systems, you consent to receive a single transactional SMS confirmation related to that specific interaction. You may opt out of SMS communications at any time by replying STOP to any Repliant Arc SMS message. Standard message and data rates may apply.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. Repliant Arc does not warrant that the Services will be uninterrupted, error-free, or free from security vulnerabilities. AI-generated responses, lead qualifications, and appointment bookings are produced by automated systems and may contain errors or inaccuracies. Repliant Arc does not warrant the accuracy, completeness, or fitness of any AI-generated output for any particular purpose.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REPLIANT ARC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES arising out of or related to your use of the Services, including but not limited to lost revenue, lost profits, missed leads, missed appointments, or data loss.
Repliant Arc's total cumulative liability for any claims arising out of these Terms shall not exceed the total amount paid by you to Repliant Arc in the three months immediately preceding the claim. This limitation does not apply to claims arising from gross negligence, willful misconduct, or violations of law by Repliant Arc.
You agree to indemnify, defend, and hold harmless Repliant Arc, its officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from your use of the Services, your violation of these Terms, your violation of any applicable law or third-party right, or any content or information you provide to Repliant Arc.
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions.
Before initiating any formal dispute, you agree to contact Repliant Arc at 833-848-0188 to describe the issue and attempt to resolve it informally. If the dispute is not resolved within 30 days of that contact, either party may proceed to binding arbitration as described below.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at adr.org. The arbitration will be conducted in Brevard County, Florida, or by telephone or video at the request of either party. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
For claims under $25,000, arbitration may be conducted solely on the basis of documents submitted to the arbitrator. Repliant Arc will pay all AAA filing, administration, and arbitrator fees for any arbitration it initiates. For arbitration you initiate, fees will be allocated per the AAA Consumer Arbitration Rules.
YOU AND REPLIANT ARC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY โ NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found unenforceable, the entirety of this arbitration provision shall be null and void.
Either party may bring an individual claim in small claims court in Brevard County, Florida if the claim qualifies. Either party may seek injunctive or equitable relief in a court of competent jurisdiction in Florida to protect intellectual property, prevent irreparable harm, or enforce payment obligations โ without waiving the right to arbitrate other claims.
Any claim arising out of these Terms or the Services must be brought within one year after the claim arises, or it is permanently waived and barred.
Repliant Arc may modify these Terms at any time. We will update the "Last Updated" date and notify active clients by email at least 14 days before material changes take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
